Common Questions

How do I sue for breach of contract in Singapore?

Usually the steps are: review the contract and evidence, send a letter of demand, try negotiation or mediation, and if that fails start proceedings in the court that suits the claim's value and type. Early advice helps you avoid missing deadlines.

What happens if a director breaches their fiduciary duty?

The company may be able to claim damages or an account of profits, seek an injunction, or ask the court to set aside a transaction. In some cases a shareholder may bring a claim on the company's behalf with the court's permission.

What can a minority shareholder do if oppressed?

Section 216 of the Companies Act lets the court grant relief where a company's affairs are conducted oppressively or in disregard of a member's interests. A buy-out order is a common outcome.

Can I recover an unpaid invoice?

Often yes. A letter of demand is usually the first step, followed by a claim if payment is not made. The strength of your documents and the other side's defences matter.
